Pre-Established Business Entities

One of our flagship offerings is the sale of pre-established business entities. These are corporations and LLCs that have already been legally formed and kept in good standing overtime, but have never been used for active business. We have a portfolio of such entities in various states and ages, often referred to as “shelf” companies because they have been on the proverbial shelf awaiting use. Ongoing obligations (like annual state fees or registered agent fees) are explained to you and are your responsibility post-purchase. Registered Agent Coordination

Every corporation or LLC is required to have a registered agent with a physical address in the state of formation to receive official documents. While Incorp Ease is not a registered agent service ourselves, we assist you in arranging a reliable registered agent in your state (or provide guidance if you wish to change agents after acquiring a company). We can refer you to vetted third-party registered agent providers and help with the paperwork to update the agent on state records. Maintaining a valid registered agent is essential to keep your company in good standing, and we ensure you’re set up correctly.

Annual Reports & Renewals

Most states require an annual (or periodic) report or renewal for corporations and LLCs. Missing a filing or payment can lead to penalties or even dissolution of the company. Incorp Ease offers annual report filing assistance as an ongoing service. We will remind you of upcoming due dates for your entity’s state filings and can prepare and submit the required reports on your behalf (for an affordable service fee plus any state fee). This service ensures your company remains active and in compliance year after year without you having to track multiple deadlines.

EIN Application (Tax ID Number)

If your newly acquired corporation or LLC does not yet have an EIN (Employer Identification Number) from the IRS, we can help obtain one for you quickly. The EIN is important for opening bank accounts, hiring employees, and filing taxes. Our team will gather a few pieces of information and handle the IRS EIN application process for you. This service is often complimentary for our clients or comes at a nominal fee, because we want to make sure you can start using your company without delay.

Document Preparation & Amendments

Need to make changes or prepare internal documents? We provide assistance with basic corporate documentation such as drafting initial resolutions, bylaws or operating agreements, and organizational meeting minutes for your company records. If you require a change to your company’s public filings–for example, a name change amendment or adding a management member–we can prepare and file the necessary forms with the state. These are straightforward filings that our specialists handle routinely. (Note: For complex legal changes or advice, we will refer you to legal counsel, as we don’t provide legal advisory services. Our role is limited to document preparation and submission according to your instructions.)

Pricing

Our compliance services are generally billed either as flat fees per task or as part of an ongoing service plan, depending on your needs:

  • Registered agent setup assistance: Typically free(you would pay the chosen registered agent service directly for their annual fee). We do not mark up registered agent fees; we simply facilitate the introduction as a courtesy.
  • Annual report filing service: Usually allow fixed service fee (for example, $100) prefiling, plus the exact state fee. If multiple states or entities, discounts may apply. We’ll quote you beforehand.
  • EIN application assistance: Free for clients who purchase an entity from us (we’ll handle it as part of the package). For others, a minimal fee (e.g., $50) for the service.
  • Document prep or amendments: Priced based on complexity–simple documents might be ~$75, state filing amendments vary by state (we charge a service fee plus the state’s filing fee). Again, we’ll confirm any cost with you in advance.

We strive to keep compliance service pricing reasonable, because our goal is to build an ongoing relationship as your trusted admin support. Bundled packages can be arranged if you need several services together–just ask, and we can create a custom plan.

  • Business License Research: If you’re unsure what licenses or permits your business might need at the local or state level (beyond basic incorporation), we offer research services to point you in the right direction. We’ll help identify the applications or authorities you should contact. (This is an advisory support service–guiding you to information–not legal advice.)
  • Document Retrieval: Need a certified copy of a corporate document or a Certificate of Good Standing for your entity? We can handle retrieval from state agencies on your behalf, saving you the time of dealing with government offices.
  • Consultation on Corporate Structure: While we do not provide legal consulting, we can share general insights on common corporate structuring questions (for example, differences between an LLC and Corporation for administrative aspects, or how to add a new member/shareholder from a filing perspective). We always clarify when an issue is legal/tax in nature so you can seek appropriate advice, but for many standard process questions, our experienced staff can give you quick answers.

Our team will respond promptly to discuss your needs in detail. We’ll provide a personalized quote for the services or entities you’re interested in. If you’re purchasing a pre-established company, we’ll present options from our inventory that meet your criteria, along with pricing and full details for each. We encourage you to ask questions–we’re here to ensure you’re completely comfortable before moving forward.

Review the options and decide which service or ready-made entity fits your needs best. Once you’ve made a choice, we will confirm availability (for entities, since inventory can change) and then guide you through the next steps.

For purchasing a corporate entity, we will provide you with our Corporate Entity Purchase Agreement to review and sign electronically. This agreement outlines all terms of the sale in plain language for your protection and ours. For other services, we may have a simple service agreement or terms confirmation. You’ll also have access to our Terms of Use, Refund Policy, and Dispute Resolution Policy, which govern all services (links are available in the footer on every page for your reference).

After signing the necessary agreement, you can make payment securely via our Make a Payment page. We accept major credit/debit cards and other secure forms of payment. You’ll be provided with an invoice or payment link that corresponds to your purchase. Our site uses encrypted processing to ensure your financial information is safe.

Once payment is received, we proceed to fulfill the service. For entity purchases, we will transfer the company into your name. This involves preparing the necessary transfer documents (like stock transfer for corporations or membership transfer for LLCs) and updating any public records as required. We’ll then deliver to you a complete company package, including original formation documents, any existing Employer ID (or instructions to obtain one), resolutions or affidavits attesting to no prior activity, and confirmation of the transfer. For compliance or filing services, we will execute the agreed task and provide you with proof or confirmation (for example, a filed annual report or a newly issued EIN confirmation from the IRS). Most transfers are completed very quickly–often within one business day of purchase–and filings are done by the agreed timeline.

Our relationship doesn’t end at the sale. Incorp Ease remains available to support you with any questions or additional services. If you’ve purchased an entity, we can guide you on next steps to utilize it (such as opening bank accounts or updating the business address)–purely from a procedural standpoint. And as your business grows, we’re here to assist with compliance maintenance or even additional entities if needed.
